A Commercial Lease Agreement records the principal terms under which commercial premises are occupied by a lessee from a lessor for an agreed period and commercial purpose.
The document can be used to organise the understanding between the parties regarding the premises, rent, deposit, duration, permitted business activity, maintenance, utilities, alterations, compliance and termination.
The description of the premises should be sufficiently clear to identify the property and the particular portion being leased. Where relevant, the agreement may also record floor, shop, office, unit, building and other identifying details.
Commercial arrangements can vary significantly depending on the nature of the premises and the proposed business. The agreement should therefore reflect the actual arrangement between the parties.

The following areas are useful when reviewing or preparing a Commercial Lease Agreement.
The agreement should clearly identify the lessor and lessee, together with their relevant particulars and addresses.
The premises should be described sufficiently to identify the building, shop, office, floor, unit and other relevant particulars.
Record the commencement date, duration, expiry date and any agreed renewal or continuation arrangement.
Specify the agreed rent, payment frequency, due date, payment method and other agreed payment terms.
Record the security deposit and the agreed terms governing its adjustment, utilisation and return.
Identify the permitted commercial activity and any restrictions applicable to the use of the premises.
Clarify responsibility for repairs, maintenance, utilities, common areas and other operational expenses.
Where relevant, address fit-out works, alterations, fixtures, installations, signage and restoration obligations.
The parties may record responsibility for licences, permissions, registrations and compliance requirements relevant to the business.
The agreement should state whether assignment, transfer, subletting or sharing of the premises is permitted and subject to what conditions.
Record expiry, notice requirements, early termination, default and consequences of termination.
Set out the condition in which the premises are to be returned and the procedure for handing back possession.
PROPERTY PARTICULARS
The agreement should identify the premises being leased. Depending on the property, this may include the building name or number, floor, shop or office number, unit, address, district, local body and other relevant identifying information.
BUSINESS USE
A Commercial Lease Agreement may specify the business or commercial activity for which the premises are being occupied. This can help the parties record the intended use and any agreed restrictions.
Where licences, registrations, permissions or other compliance requirements are relevant to the proposed activity, the agreement may allocate responsibility between the parties.
FIT-OUT & ALTERATIONS
Commercial premises may require interior works, installations, fixtures, partitions, signage or other modifications before or during occupation.
Where such works are contemplated, the agreement may specify whether prior consent is required, who bears the cost, who owns installed items and whether the premises must be restored at the end of the lease.
Record the rent amount, payment frequency, due date and agreed payment method.
Record the deposit amount and the agreed conditions concerning its adjustment and return.
Record commencement, duration, expiry and renewal arrangements.
TERMINATION
The agreement may address expiry of the lease, notice requirements, early termination, default and the procedure for handing back the premises.
The parties may also record the condition in which the premises, fixtures and installations are expected to be returned.
